The Services are administrative tools designed to assist in managing operational efficiency within medical clinics. The Services do not provide medical advice, diagnosis, or treatment and are not a substitute for professional medical judgment.

It is your responsibility to inform patients that interactions facilitated through the Services do not constitute medical advice or professional consultation and to ensure patients seek appropriate medical care when needed.
All disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration conducted by the British Columbia International Commercial Arbitration Centre (BCICAC) in Vancouver, British Columbia. The arbitration shall be conducted in English and in accordance with the BCICAC Arbitration Rules.
Before initiating arbitration, you agree to attempt to resolve disputes informally by contacting Aurum AI. Each party shall bear its own costs of arbitration, except as otherwise required by applicable law.
Nothing in this section prevents either party from seeking injunctive relief or other equitable remedies in a court of competent jurisdiction.
You agree to indemnify, defend, and hold harmless Aurum AI, its officers, directors, employees, agents, and affiliates from any and all claims, damages, liabilities, costs, and expenses, including but not limited to legal fees, arising out of or related to:
Your indemnification obligations extend to all costs incurred in defense of such claims, including settlement costs, damages, and reasonable attorneys’ fees.
This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Services.
To the fullest extent permitted by law, Aurum AI is not liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to:

You are responsible for ensuring compliance with all applicable laws and regulations, including those related to healthcare and data protection. Aurum AI is not liable for your non-compliance.
The Services may integrate with third-party applications. Aurum AI is not responsible for the performance, reliability, or compliance of third-party services. Use them at your own risk and in accordance with applicable third-party terms.
Aurum AI shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, internet outages, or government actions.
Aurum AI may suspend or terminate your access to the Services at its sole discretion if you violate these Terms. Termination does not affect rights or obligations accrued before termination. Upon termination, your access to data stored within the Services may be restricted.
These Terms are governed by the laws of British Columbia, Canada. Disputes are subject to the exclusive jurisdiction of the courts in British Columbia, except as provided under the Dispute Resolution section.
